Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and ExecutESG Oy, a company registered in Finland with its registered office at Lapinlahdenkatu 16, 00180 Helsinki, Finland ("we", "us", "Company").

By creating an account or using the VSME platform (the "Service"), you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Service Description

VSME is a cloud-based sustainability reporting platform designed for Small and Medium-sized Enterprises (SMEs). The Service enables users to:

  • Complete the EFRAG VSME sustainability reporting questionnaire
  • Generate sustainability reports aligned with EU disclosure standards
  • Export data in XBRL format for regulatory compliance
  • Manage company profiles and subsidiary information

3. User Accounts

3.1 Registration

You must register for an account to access the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at support@executesg.com if you suspect any unauthorized use of your account.

3.3 One Account Per User

Each user must maintain only one account. We reserve the right to merge or terminate duplicate accounts.

4. Subscriptions & Billing

4.1 Plans

The Service is available in multiple subscription tiers (e.g., Free, Starter, Professional, Enterprise). Features and limits vary by plan, as described on our pricing page.

4.2 Payment

Paid subscriptions are billed in advance on a recurring basis (monthly or annually) via our payment processor, Stripe. All prices are in Euros (€) and include applicable VAT where required.

4.3 Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. No refunds are provided for partial billing periods.

4.4 Price Changes

We reserve the right to change subscription prices. We will provide at least 30 days' notice before any price increase takes effect. Continued use of the Service after a price change constitutes acceptance of the new price.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Submit false, misleading, or fraudulent data
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the Service's infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated tools (bots, scrapers) to access the Service without prior written permission
  • Resell, sublicense, or redistribute the Service without authorization

6. Your Data & Content

6.1 Ownership

You retain all ownership rights to the data and content you submit to the Service (company profiles, questionnaire responses, reports). We do not claim ownership of your content.

6.2 License to Us

By using the Service, you grant us a limited, non-exclusive license to process, store, and display your data solely for the purpose of providing and improving the Service.

6.3 Data Export

You may export your data at any time through the report download and XBRL export features. Upon account deletion, we will provide your data upon request within 30 days.

7. Intellectual Property

The Service, including its design, code, features, trademarks, and documentation, is owned by ExecutESG Oy and protected by Finnish and EU intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property except the limited right to use the Service as described herein.

8. Disclaimers & Limitation of Liability

8.1 "As Is" Basis

The Service is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the Service's fitness for a particular purpose, accuracy, or reliability.

8.2 No Regulatory Guarantee

While the Service is designed to align with EFRAG VSME reporting standards, we do not guarantee that reports generated by the Service will satisfy all regulatory requirements. Users are responsible for verifying their compliance obligations.

8.3 Limitation of Liability

To the maximum extent permitted by law, ExecutESG Oy's total liability to you for any claims arising from the use of the Service shall not exceed the total fees paid by you in the 12 months preceding the claim. We shall not be liable for indirect, incidental, special, or consequential damages.

9. Termination

We may suspend or terminate your access to the Service if you violate these Terms, engage in fraudulent activity, or fail to pay subscription fees. Upon termination:

  • Your right to use the Service ceases immediately
  • We will retain your data for 30 days to allow retrieval
  • After 30 days, your data will be permanently deleted

10. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of Finland. Any disputes arising from these Terms or the use of the Service shall be resolved in the District Court of Helsinki, Finland.

If you are a consumer within the EU, you may also submit disputes to the EU Online Dispute Resolution platform.

11. Changes to These Terms

We may modify these Terms at any time. We will notify registered users of material changes via email at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
